Terms of Use

MindGraph is a product operated by Syed Shan-E-Haider Rizvi, an individual based in New York ("MindGraph," "we," "us," or "our").

These Terms of Use (the Terms) are an agreement between you and Syed Shan-E-Haider Rizvi governing your access to MindGraph's websites, hosted service, APIs, SDKs, integrations, and related software and documentation (collectively, the Services).

1. Acceptance and authority

By creating an account, clicking to accept these Terms, or using the Services, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Services.

You must be at least 18 years old and legally able to enter into a contract. If you use the Services for an organization, you represent that you have authority to bind it, and "you" includes that organization. A signed order form, data processing addendum, or other written agreement controls if it expressly conflicts with these Terms.

2. Accounts and organizations

You must provide accurate account information, protect your credentials and API keys, and promptly tell us about suspected unauthorized access. You are responsible for activity under your account and for users and agents you authorize.

Organization owners and administrators may invite or remove members, manage roles and credentials, configure integrations, and access, export, or delete content in their organization. If you join an organization, its administrator may control your access and the content associated with that organization.

3. The Services

MindGraph provides tools for ingesting, structuring, retrieving, connecting, and governing company knowledge and agent activity. We may improve, modify, add, or remove features. We will use reasonable efforts to give advance notice if a change materially reduces the core functionality of a paid subscription.

Beta, preview, research, and experimental features may be incomplete, change without notice, and are provided for evaluation. Service limits, credits, supported features, and technical requirements may be described in the applicable plan or documentation.

4. Customer Content

Customer Content means information, files, prompts, database records, messages, instructions, and other material that you or your users submit to or generate through the Services, including derived graph records and AI outputs. As between you and MindGraph, you retain your rights in Customer Content.

You grant MindGraph a worldwide, non-exclusive, limited license to host, copy, transmit, transform, display, and otherwise process Customer Content only as needed to provide, secure, support, and improve the Services; comply with law; and follow your configuration and instructions. This license ends when the content is deleted from active systems, subject to reasonable backup cycles and legal retention duties.

You represent that you have all rights, permissions, notices, and lawful bases needed for MindGraph and its service providers to process Customer Content as described in these Terms and the Privacy Policy. MindGraph does not use Customer Content to train its own generalized AI models unless you separately and expressly agree.

5. AI features and outputs

Some features use third-party artificial intelligence providers. Inputs and relevant context may be sent to those providers to produce outputs or extract structured information. AI outputs can be inaccurate, incomplete, outdated, biased, or non-unique. They are not legal, medical, financial, or other professional advice.

You are responsible for reviewing outputs and applying appropriate human oversight before relying on them, publishing them, or using them to make decisions or take actions. Do not use the Services to make solely automated decisions with legal or similarly significant effects unless you have independently established that the use is lawful and appropriately governed.

6. Acceptable use

You will not, and will not help another person to:

  • break the law or violate another person's intellectual-property, privacy, publicity, confidentiality, or other rights;
  • submit content you are not authorized to process, or collect or monitor people without required notice or consent;
  • upload malware, disrupt the Services, evade rate or usage limits, or access accounts, systems, or data without authorization;
  • probe or test vulnerabilities without our prior written authorization, except through a published security program;
  • reverse engineer the hosted Services except where applicable law prohibits this restriction;
  • use the Services for spam, phishing, impersonation, fraud, harassment, exploitation, or dangerous or illegal activity;
  • resell or provide the Services to unauthorized third parties, or use them to build a competing hosted service, except as expressly permitted in writing; or
  • submit payment-card data, government identifiers, protected health information, or other specially regulated data unless your plan and a written agreement expressly permit it.

We may investigate suspected abuse and suspend access when reasonably necessary to protect users, third parties, or the Services.

7. Third-party services and integrations

You may connect the Services to third-party products, data sources, models, or MCP servers. At your direction, MindGraph may exchange Customer Content with them. Your use of a third-party service is governed by your agreement with that provider. MindGraph is not responsible for a third party's services, availability, security, or use of data outside MindGraph's control.

8. Fees, credits, and taxes

Paid features are governed by the prices, included usage, billing period, and other terms shown when you purchase them or in an order form. You authorize our payment processor to charge your selected payment method. Except where required by law or stated otherwise at purchase, fees and consumed usage credits are non-refundable. You are responsible for applicable taxes other than taxes on MindGraph's income.

Recurring subscriptions renew for the selected billing period until canceled. You may cancel through the available billing controls or by contacting us; cancellation takes effect at the end of the current paid period unless stated otherwise.

9. MindGraph technology and feedback

MindGraph and its licensors retain all rights in the Services, documentation, designs, trademarks, and underlying technology, excluding Customer Content. Open-source components remain subject to their licenses. No rights are granted except those expressly stated here.

If you provide suggestions or feedback, you grant us a perpetual, worldwide, royalty-free right to use it without restriction or compensation, provided we do not publicly identify you as the source without permission.

10. Confidentiality

Each party may receive non-public information that should reasonably be understood as confidential. The receiving party will use it only to perform under these Terms, protect it with reasonable care, and disclose it only to personnel and service providers who need it and are bound by confidentiality obligations. These duties do not apply to information that is public through no breach, already lawfully known, independently developed, or lawfully received without restriction. A legally compelled disclosure is permitted, with notice when lawful and practical.

11. Suspension and termination

You may stop using the Services at any time. We may suspend or terminate access if you materially breach these Terms, create a security or legal risk, fail to pay amounts due, or use the Services in a way that could materially harm us, our users, or third parties. When practical, we will give notice and an opportunity to cure.

After termination, your right to use the Services ends. You remain responsible for accrued charges. Provisions that by their nature should survive will survive, including ownership, confidentiality, disclaimers, liability limits, and dispute terms. Contact us before closing an account if you need to export Customer Content.

12. Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available." MindGraph disclaims all express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, title, non-infringement, and any warranty that the Services or outputs will be uninterrupted, secure, accurate, complete, or error-free.

13. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business interruption, arising from the Services or these Terms, even if advised of the possibility. MindGraph's total liability for all claims arising out of or relating to the Services or these Terms will not exceed the greater of $100 or the fees you paid to MindGraph for the Services during the 12 months before the event giving rise to the claim.

These limits do not apply where prohibited by law and do not limit either party's liability for fraud, willful misconduct, or infringement or misappropriation of the other party's intellectual-property rights.

14. Indemnification

To the extent permitted by law, you will defend and indemnify MindGraph and its personnel against third-party claims, damages, and reasonable costs arising from Customer Content, your users' use of the Services, or your material breach of these Terms or applicable law. We will promptly notify you of a covered claim, allow you to control its defense and settlement, and reasonably cooperate at your expense. You may not settle a claim in a way that admits fault by or imposes obligations on MindGraph without our consent.

15. Changes to these Terms

We may update these Terms. We will post the revised version and update its effective date. If a change materially affects your rights, we will provide additional notice when required by law. Changes apply prospectively. If you do not agree to a material change, you must stop using the Services before it takes effect.

16. Governing law and disputes

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. The state and federal courts located in New York County, New York will have exclusive jurisdiction over disputes arising from these Terms or the Services, and each party consents to that jurisdiction and venue. Before filing a claim, each party agrees to try in good faith for 30 days to resolve the dispute informally. This section does not prevent either party from seeking urgent injunctive relief. Applicable consumer-protection laws may give you rights that cannot be waived by these Terms.

17. General terms

You may not assign these Terms without our consent, except as part of a merger, reorganization, or sale of substantially all relevant assets. We may assign them as part of such a transaction or to an affiliate. Neither party is liable for delay caused by events beyond its reasonable control. If a provision is unenforceable, it will be narrowed to the minimum extent necessary and the rest will remain effective. A waiver must be in writing. These Terms and incorporated agreements are the entire agreement about the Services and do not create a partnership, agency, employment, or third-party beneficiary relationship.
